By accessing or using the AI-powered wholesale order processing platform ("Service") provided by Brydge AI Ltd, a company registered in England and Wales (Company No. 16925363) ("Brydge," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Service Description

Brydge provides an AI-powered platform that:

• Accepts order files in various formats (CSV, Excel, PDF, email, EDI, etc.)
• Validates and processes order data using artificial intelligence
• Exports processed data to ERP, OMS, and other business systems
• Provides integrations with third-party platforms
• Offers analytics and reporting capabilities

Acceptable Use

You May:

• Use the Service for legitimate business purposes
• Upload order data you own or have rights to process
• Integrate the Service with your authorized systems
• Access and export your processed data

You May Not:

• Violate any laws or regulations
• Upload malicious code, viruses, or harmful content
• Attempt to reverse engineer or hack the Service
• Resell or redistribute the Service without authorization
• Use the Service to process data you don't have rights to
• Interfere with or disrupt the Service's operation
• Use automated tools to scrape or extract data
• Impersonate others or provide false information

Subscription and Billing

• Subscription fees are based on your selected plan and usage
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law

Billing Terms

• Billing Cycle: Monthly or annual billing available
• Auto-Renewal: Subscriptions automatically renew unless cancelled
• Payment Methods: Credit card, direct debit, or bank transfer
• Late Payments: Service may be suspended for non-payment

Cancellation

• No refunds for partial months or unused credits

• Uptime: 99.9% uptime SLA for Professional and Enterprise plans
• Maintenance: Scheduled maintenance will be announced in advance
• Support: Support hours vary by plan level

Accuracy Guarantee

• 98% accuracy guarantee for Starter plans
• 99.9% accuracy guarantee for Professional and Enterprise plans
• Accuracy measured based on field-level validation

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees you paid in the past 12 months
• We are not responsible for third-party integrations or services
• You are responsible for backing up your data

Indemnification

You agree to indemnify and hold Brydge harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Data you upload or process through the Service

Termination

By You

You may terminate your account at any time by canceling your subscription.

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security or legal risk

Effect of Termination

• Access to the Service will cease immediately
• You have 30 days to export your data
• After 30 days, your data will be permanently deleted
• Outstanding fees remain due

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via:

• Email notification
• In-app notification
• Posting on our website

Continued use of the Service after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Brydge
• Severability: If any provision is invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control
